To register a construction company in Pakistan, you need to follow certain requirements and procedures. By fulfilling these requirements and following the registration process, you can establish and operate a construction company in Pakistan in compliance with legal and regulatory standards.
Company Incorporation: Choose a unique name for your construction company and get it reserved with the Securities and Exchange Commission of Pakistan (SECP) and then prepare the necessary documents, including the Memorandum and Articles of Association, and submit them to the SECP for company incorporation.
Business Registration: You also have an option to register your construction business with the FBR as a sole proprietor or partnership firm with the Registrar of Firms if you does not intend to incorporate a company.
Tax Registration: You must need to register your construction company or business for tax purposes with the Federal Board of Revenue (FBR) to obtain a National Tax Number (NTN) and Sales Tax Registration Number (STRN).
Registration with Relevant Authorities: Depending on the nature of your construction projects, you may need to register with specific regulatory bodies such as the Pakistan Engineering Council (PEC) for engineering services.
Labour and Social Security Registration: You would also need to register your construction company with the Employees’ Old-Age Benefits Institution (EOBI) and the Provincial Employees’ Social Security Institution (PESSI) for the welfare of your employees.
Obtain Licenses and Permits: You would need to obtain the licenses and permits from local authorities for construction activities, including building permits, environmental clearances, and NOCs (No Objection Certificates).
Bank Account Opening: Open a bank account in the name of your construction company to manage financial transactions and payments.

The total registration fee for setting up a construction company in Pakistan depends on several factors, including the type of company, the scale of operations, and the specific requirements of regulatory bodies. But we are providing an approximate breakdown of the fees you may have to pay:
SECP Fee: The fee for registering your company with the Securities and Exchange Commission of Pakistan (SECP) typically ranges from PKR 10,000 to PKR 25,000, depending on the authorized capital of the company. But it does not include service cost.
Pakistan Engineering Council (PEC) Fee: If your construction company involves engineering services, you will need to register with the PEC. The registration fee with the PEC can be around PKR 15,000 to PKR 30,000. For Sole Proprietor fee is 10,000/-, for Partnership Firm fee is 20,000/-, and for Private Limited Company fee is 30,000/-. Please also note that fee for Pre-Registration of Foreign Consulting Engineers is $ 1,000/- and Processing Fee of Foreign Consulting Engineers fee is also $ 1,000/-.

Other NOCs, Permits, and Licenses: The fees for obtaining other necessary permits, licenses, and NOCs (such as building permits, environmental clearances, and other regulatory approvals) can vary based on the specific requirements of local authorities. This would cost you few thousand rupees, depending on the scope of the construction projects.
To establish a construction company in Pakistan, you need to register your business with the Securities and Exchange Commission of Pakistan (SECP) as a private limited company, sole proprietorship, or partnership firm, depending on your business structure. Besides that, you would also need to register for the tax with the Federal Board of Revenue (FBR), must obtain a license from the Pakistan Engineering Council (PEC) and also to register with the social welfare institutions regulated by the governement. Here is a step by step process to register a construction company in Pakistan;
First step is to register your construction business with the SECP or FBR. The main difference between these two are that if you are intending to incorporate a limited liablity company then you need to register a limited liability company with the SECP or otherwise you also have an option to register your business with the FBR as a Sole Proprietorship. If there are more than one owners then you can also register the business as an Association of Persons / Partnership Firm. For a sole Proprietorship registration you would need to sign up at the IRIS and apply for registration.
If you decided to register a private limited company then you would need to reserve a name of your business first and then perpare the Memorandum of Association (MOA) and Articles of Association (AOA) for your company. Once the documents are prepared then it comes to the preparation of Form-II under Companies (Incorporation) Regulation of 2017 to be filed alongwith certain details and required documents. This form can be filed through online as well as manually, depending upon the circumstance and nature of company.
Once all the documents are prepared then it comes to the filing process. After complying with the requirements as per the business type, you would need to file an application online/manual. After depositing a registration fee and the government will initiate a process of registration, and thereafter a business registration certificate will be issued. At this stage your construction business has been registered but you will need further registrations as well.
After registration of the business or company, you must need to register your construction company or business with the Federal Board of Revenue (FBR). For National Tax Number (NTN) Registration you would need to Visit the FBR online portal or a Regional Tax Office (RTO) to apply for NTN registration, fill out the NTN registration form about your company, submit the required documents, including company incorporation certificate, memorandum, articles of association, and CNIC copies of directors/shareholders and then pay the NTN registration fee. Afterawards, you will receive a Taxpayer’s Registration Certificate (TRC) from the FBR. This certificate will serve as proof of your company’s registration for tax purposes.
Once you get the business registration certificate and NTN certificate, you would need to open a business bank account. This would take approximately 3 to 4 working days. After opening a bank account you would have to deposit the capital amount in the business bank account and obtain an account maintenance certificate. You must have a separate business bank account for your construction company because it ensures legal compliance, financial transparency, professionalism, easy monitoring of finances, simplifies tax reporting, and provides access to specialized business services.
Registering a construction company with the Pakistan Engineering Council (PEC) is very important so as to operate legally in Pakistan. PEC registration ensures that your company meets the required standards and qualifications to engage in construction business. It involves submitting the necessary documents, such as educational qualifications of key personnel, company profile, other company documents and required fee to PEC for evaluation. For most businesses, the registration with FBR is the last step of the process. However, contractors need to register their construction companies with the Pakistan Engineering Council, better known as PEC, as well.
The Pakistan Engineering Council is the primary professional body that regulates the profession of engineering in the country. Constituted under the PEC Act, the main functions of this council include registration of engineers and constructors along with accreditation of engineering programs offered by higher education institutes and universities in Pakistan.
It is mandatory to register a construction company in Pakistan with PEC, as it cannot take on any civil or government construction projects without obtaining a no-objection certificate (NOC) from the apex council.
